4.1 ASSEMBLY OF DELEGATES

Appointment of Delegates

a. The Assembly of Delegates shall be composed of Delegates appointed by Member Districts and Employee Associations.

b. Each Member District with 151 or more employees participating in the Plan shall appoint District Delegates equal in number to the number of that District’s Employee Associations participating in the Trust.

c. Member Districts with 150 or fewer such employees may join with other Member Districts to establish a pool with 151 or more employees. Such pooled Member Districts shall appoint one District Delegate.

d. Member Districts entitled to two District Delegates may appoint one District Delegate who shall have the voting power to which the District is entitled.

e. Each Employee Association shall appoint one Employee Association Delegate.

f. Each Delegate must be an employee of Member Districts and be covered by a medical plan, through the Trust or otherwise.

g. Member Districts and Employee Associations shall designate Delegates in writing, which shall be provided to the Board of Directors before or coincident with their appointment.

Qualifications

h. Districts and Employee Associations will use their best efforts to appoint Delegates who have experience or expertise in investments, health and welfare trusts, labor management relations, or health service delivery, and are free from any conflicts of interest.

Term of Office

i. Each Delegate shall serve at the pleasure of the appointing authority until death, incapacity, resignation, inability to serve, removal from office, or until a successor is designated as provided in these policies.

j. A Delegate may resign at any time by serving written notice of such resignation, at least thirty (30) days prior to the date on which such resignation is to become effective, upon the Board of Directors.

k. Any Delegate appointed by a Member District may be removed from office at any time for any reason by an instrument in writing signed by the appointing Member District and served on the Delegate and the Board of Directors. Any Employee Association Delegate may be removed from office at any time for any reason by an instrument in writing signed by the appointing Employee Association and served upon the Delegate and the Board of Directors.

l. If any Delegate appointed by a Member District dies, resigns or is removed from office, a successor Delegate will be appointed forthwith by an instrument in writing signed by the Member District and delivered to the Board of Directors. If any Employee Association Delegate dies, resigns or is removed from office, a successor Delegate will be appointed forthwith by an instrument in writing signed by the Employee Association appointing such Delegate and delivered to the Board of Directors.

m. Any Delegate who resigns or is removed from office must forthwith turn over to the Chair or Co-Chair of the Board of Directors at the principal office of the Trust any and all records, books, documents, monies and other properties which belong to the Trust and which were received by such Delegate in his or her capacity as a Delegate.

n. The Delegate may not be compensated for their services to the Trust by the Trust but Delegates will be reimbursed by the Trust for all reasonable expenses properly and actually incurred in connection with the performance of their official duties as Delegates, as authorized by the Board of Directors.

Powers and Duties

o. An Assembly of Delegates has the authority to exercise all the powers and duties delegated to it by the Board of Directors.

p. Delegates may serve on any of the Standing Committees established by the Board of Directors.

q. The Delegates shall elect Directors to replace or continue those Directors whose terms of office are due to expire on June 30, as provided in Article V, section 3 of the Trust Agreement.
